Paralegal, CPS and Irish Entities

Job Description Summary: We are seeking a motivated Senior Paralegal to join the CPS & Irish Entities legal team. This role will provide essential support to a diverse legal team, focusing on company secretarial work, corporate governance, contract management, and compliance functions. This role requires a collaborative and agile individual with an understanding of company secretarial and governance practices. The successful candidate will work in a networked fashion with legal function and business colleagues locally and internationally.

What You’ll Do for Us:
•    Assist in preparing for and attending director and shareholder meetings, including drafting agendas, resolutions, recording minutes and dealing with CRO filings. 
•    Assist with the approval of statutory financial statements and filing process for Irish companies.
•    Support requests received from subsidiaries companies such e.g. Powers of Attorney, AGM documentation. 
•    Manage and maintain corporate records and registers for the Irish companies. 
•    Handle standard form contracts, including drafting, reviewing, and arranging approval.
•    Monitor legal developments that may impact our business and providing updates to the legal team on them.
•    Supporting multiple areas of the legal department including transactional, company secretarial, compliance and administrative. 
•    Other administrative and related matters that may arise. 

Qualifications and Requirements:
•    Bachelor’s Degree, Diploma or Certificate in Legal Studies, Company Secretarial or a related field.
•    Three years plus experience working as a paralegal or legal executive role, preferably within a corporate or law firm setting.
•    Experience managing company secretarial duties and corporate governance procedures.
•    Digital literacy and proficiency in legal research tools and Microsoft Office Suite.
•    Proactive and ability to work independently on own initiative.
•    Team player with a collaborative approach.
•    Ability to handle confidential information with discretion.
•    Adaptable and able to manage multiple tasks simultaneously.
•    Strong organizational skills and attention to detail.
•    Excellent written and verbal communication skills.
