Corporate Secretary

We are looking for a Company Secretary (CS) for a Multinational Private Limited Company with at least five years’ experience. The CS will provide support to managers, senior-level executives, various functions and the Board of Directors. The CS should be able to maintain high standards of corporate governance and needs to have a thorough understanding of laws applicable to the areas of work and must be equipped to provide appropriate legal advice.

Responsibilities:
 

Candidates should be well versed in:

  • Compliances under the Companies Act 2013, and Securities laws;
  • Ensure smooth conduct of Board, Committee & Annual General Meetings
  • Compliances under FEMA, FDI regulations, requirements of RBI and related compliances;  
  • Maintenance of statutory registers/records and E – filing of various Forms/Returns;
  • Drafting of agenda, notices, minutes of board/committee meetings, and organizing these meetings;
  • Drafting of annual statutory documents like Director’s Reports, Notices of AGM/EGM,
  • Driving CSR including identifying projects, implementation within timelines and monitoring and Compliances with CSR regulations;
  • Inter-action with banks/financial institutions;
  • Inter-action with finance, HR, Taxation and other functions;
  • Preparing high quality annual reports with proper disclosures as required;
  • Vetting of legal documents, agreements, and contracts of the organization;
  • Inter-action with statutory/internal/cost auditor in the conduct of audits; 
  • Drafting and vetting of various agreements like lease agreements, collaboration agreements, MOUs, JV Agreements, franchise agreements, retainership agreements, consultancy agreements, leave and license agreements, employment agreement, NDAs, Hospitality agreements, IT Agreements and Service level agreements;
  • Drafting of other documents like POA, Affidavits, Indemnity Bonds, Vakalatnama, Letters of Authority, Renewal & termination letters, etc.
  • Liaising with consultants/legal counsels for consumer/other cases, legal notices in various courts.
  • Routine Finance, taxation, and other statutory-related work.

Other requirements:

  • Should have excellent command over English and drafting/communication skills
  • Should be comfortable working under a dynamic hybrid environment
  • Additional qualification in law will be preferred
